The Applicant argues that it be exempted from creating a Social and Ethics Committee because it has formal mechanisms within its structures that perform the functions that would otherwise be performed by the SEC in terms of section 72(5) (a) of the Companies Act read together with regulation 43(5) of the Companies Regulations.
