The Company applied to the Companies Tribunal (the Tribunal) for an order exempting it from establishing and appointing a Social and Ethics Committee (SEC), in terms of section 72 (4) of the Companies Act, 71 of 2008 (as amended) (the CA) read with Regulation 43 of the Regulations promulgated under the Companies Act (the “Companies Regulations, 2011”).
