Application for an exemption from the requirement to appoint a social and ethics committee (SEC) – application based on section 72(5)(b) of the Companies Act, 2008 (Act No. 71 of 2008) – it is not reasonably necessary in the public interest to require the company to have a social and ethics committee, having regard to the nature and extent of the activities of the company – application for condonation – excessive delay occurred – good prospects of success serves as a mitigating factor for the excessive delay – no party has been prejudiced by the delay. Held, that condonation is granted and that exemption is granted for a period of five years.
