This is an opposed application for the removal of the first respondent as a director of the second respondent. The applicant, as submitted in his founding affidavit which accompanied the Form CTR142, where he seeks an order for the removal of the first respondent as a director of the second respondent, on the basis that the first respondent has been continuously derelict (in the founding affidavit, he refers to the first respondent having been negligent and derelict) in not convening a directors meeting to call a shareholders meeting and further that this continuous conduct is impeaching and frustrating shareholders’ rights.
