The second applicant and the respondent are the only directors and shareholders of the first applicant. Their respective shareholdings in the first applicant are in equal proportions. The first applicant’s main purpose of existence is the running of a Nando’s franchise in Queenswood, Pretoria. I shall assume for the purposes of this application that the first applicant and the
Nando’s franchise are essentially the same thing.
